These Terms govern your use of the Website and Portal only. Propel's professional services, software access, consulting engagements, and other deliverables are provided under separate written agreements ("Service Agreements") executed between Propel and each client.
In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall control with respect to the services provided thereunder. Nothing in these Terms creates, modifies, or extends any service obligations beyond what is set forth in an applicable Service Agreement.
You must be at least 18 years old and have the legal authority to enter into these Terms to use the Website or Portal. By using the Website or Portal, you represent that you meet these requirements.
The Portal is intended for use by authorized representatives of Propel's clients. Account access is provided at Propel's discretion and is contingent upon a current, active Service Agreement.

"Propel," "Propel Business Services," the Propel logo, and any related names, marks, or logos are trademarks of Propel Business Services Corp. You may not use these marks without our prior written consent.
To the extent you upload, submit, or otherwise provide content through the Portal ("Client Content"), you retain ownership of that content. You grant Propel a non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display Client Content solely as necessary to provide services and operate the Portal.
You represent and warrant that you have all necessary rights to provide Client Content and that it does not violate any third-party rights or applicable laws.
Payments for Propel's services are governed by the terms set forth in each client's signed Service Agreement.

The Website and Portal may integrate with or link to third-party services, websites, or platforms (including but not limited to Stripe for payments and Google Analytics for usage measurement). These third parties are not under Propel's control. Your use of any third-party service is subject to that third party's terms and privacy policies.
Propel is not responsible for the availability, content, security, or practices of any third-party service, and your interactions with third parties are solely between you and the third party.
Your use of the Website and Portal is also governed by our Privacy Policy, available at www.propelbusinessservices.com/privacy. The Privacy Policy describes how we collect, use, and protect information about you.
The Portal may make available information that is confidential or proprietary to Propel or its clients ("Confidential Information"). You agree to:
Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
This confidentiality obligation applies in addition to, and does not replace, any confidentiality provisions in your Service Agreement.
THE WEBSITE AND PORTAL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPEL DISCLAIMS ALL WARRANTIES, INCLUDING:
Any specific service warranties applicable to professional services are governed exclusively by the Service Agreement between Propel and the relevant client.
Some jurisdictions do not allow limitations on implied warranties, so some of the above may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROPEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
PROPEL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PORTAL SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Any liability associated with professional services performed under a Service Agreement is governed exclusively by that Service Agreement, including any liability cap or limitation set forth therein.

You agree to indemnify, defend, and hold harmless Propel, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
This indemnification obligation applies in addition to, and does not replace, any indemnification provisions in your Service Agreement.
We reserve the right to modify, suspend, or discontinue the Website or Portal (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and may provide additional notice (such as a banner on the Website or notification through the Portal). Your continued use of the Website or Portal after changes are posted constitutes your acceptance of the updated Terms.

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Propel regarding your use of the Website and Portal, and supersede any prior or contemporaneous understandings on this subject matter.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
