Terms of Service

Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website located at www.propelbusinessservices.com (the "Website") and the client portal accessible through the Website (the "Portal"), both operated by Propel Business Services Corp ("Propel," "we," "us," or "our").

By accessing or using the Website or Portal, you agree to be bound by these Terms. If you do not agree, do not use the Website or Portal.

1. Relationship to Service Agreements

These Terms govern your use of the Website and Portal only. Propel's professional services, software access, consulting engagements, and other deliverables are provided under separate written agreements ("Service Agreements") executed between Propel and each client.

In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall control with respect to the services provided thereunder. Nothing in these Terms creates, modifies, or extends any service obligations beyond what is set forth in an applicable Service Agreement.

2. Eligibility and Account Access

Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use the Website or Portal. By using the Website or Portal, you represent that you meet these requirements.

Portal Accounts

The Portal is intended for use by authorized representatives of Propel's clients. Account access is provided at Propel's discretion and is contingent upon a current, active Service Agreement.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying Propel immediately of any unauthorized access or security breach
  • Ensuring that any individuals you authorize to access the Portal on your behalf comply with these Terms

Propel reserves the right to suspend, terminate, or restrict access to any account at any time, including for violations of these Terms, expiration of a Service Agreement, or to protect the security of the Portal or other users.

3. Permitted Use

You may use the Website and Portal only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Website or Portal in any manner that could disable, overburden, damage, or impair the service
  • Attempt to gain unauthorized access to any part of the Website, Portal, related systems, or accounts of other users
  • Use any robot, spider, scraper, or other automated means to access the Website or Portal except for publicly available content with proper authorization
  • Introduce viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble any software or systems made available through the Website or Portal
  • Use the Website or Portal to transmit unsolicited communications, spam, or phishing attempts
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that violates applicable laws or regulations
  • Use the Website or Portal to compete with Propel or to develop a competing product or service

4. Intellectual Property

Propel's Content

All content on the Website and Portal — including text, graphics, logos, images, software, code, designs, and the overall look and feel — is owned by Propel or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Portal solely for your internal business purposes in accordance with these Terms and any applicable Service Agreement. No other rights are granted.

Trademarks

"Propel," "Propel Business Services," the Propel logo, and any related names, marks, or logos are trademarks of Propel Business Services Corp. You may not use these marks without our prior written consent.

Client Content

To the extent you upload, submit, or otherwise provide content through the Portal ("Client Content"), you retain ownership of that content. You grant Propel a non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display Client Content solely as necessary to provide services and operate the Portal.

You represent and warrant that you have all necessary rights to provide Client Content and that it does not violate any third-party rights or applicable laws.

5. Payments and Billing

Payments for Propel's services are governed by the terms set forth in each client's signed Service Agreement.

To the extent payments are made through the Website or Portal:

  • Payments are processed by Stripe, Inc. ("Stripe") and are subject to Stripe's terms and privacy policy
  • You authorize Propel and Stripe to charge the payment method you provide for amounts owed under your Service Agreement
  • You are responsible for maintaining accurate, current payment method information
  • Late payments, failed transactions, and disputed charges are addressed in your Service Agreement
  • Propel does not store full payment card numbers on our servers; payment data is handled by Stripe

If you believe a charge was made in error, contact Propel promptly using the information in Section 14.

6. Third-Party Services

The Website and Portal may integrate with or link to third-party services, websites, or platforms (including but not limited to Stripe for payments and Google Analytics for usage measurement). These third parties are not under Propel's control. Your use of any third-party service is subject to that third party's terms and privacy policies.

Propel is not responsible for the availability, content, security, or practices of any third-party service, and your interactions with third parties are solely between you and the third party.

7. Privacy

Your use of the Website and Portal is also governed by our Privacy Policy, available at www.propelbusinessservices.com/privacy. The Privacy Policy describes how we collect, use, and protect information about you.

8. Confidentiality

The Portal may make available information that is confidential or proprietary to Propel or its clients ("Confidential Information"). You agree to:

  • Treat Confidential Information with the same degree of care you use to protect your own confidential information (and in any event, not less than reasonable care)
  • Not disclose Confidential Information to any third party without prior written authorization
  • Use Confidential Information only as necessary for the purposes contemplated by these Terms and any applicable Service Agreement

Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

This confidentiality obligation applies in addition to, and does not replace, any confidentiality provisions in your Service Agreement.

9. Disclaimers

THE WEBSITE AND PORTAL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPEL DISCLAIMS ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE WEBSITE OR PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT MADE AVAILABLE THROUGH THE WEBSITE OR PORTAL

Any specific service warranties applicable to professional services are governed exclusively by the Service Agreement between Propel and the relevant client.

Some jurisdictions do not allow limitations on implied warranties, so some of the above may not apply to you.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROPEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION
  • ANY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR PORTAL

PROPEL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PORTAL SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

The foregoing limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Propel has been advised of the possibility of such damages.

Any liability associated with professional services performed under a Service Agreement is governed exclusively by that Service Agreement, including any liability cap or limitation set forth therein.

Some jurisdictions do not allow limitations on certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Propel, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your access to or use of the Website or Portal
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any Client Content you submit through the Portal
  • Your violation of any applicable law or regulation

This indemnification obligation applies in addition to, and does not replace, any indemnification provisions in your Service Agreement.

12. Modifications

To the Website and Portal

We reserve the right to modify, suspend, or discontinue the Website or Portal (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

To These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and may provide additional notice (such as a banner on the Website or notification through the Portal). Your continued use of the Website or Portal after changes are posted constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Website and Portal.

13. Termination

We may suspend or terminate your access to the Website or Portal at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Expiration or termination of an applicable Service Agreement
  • Suspected fraudulent, abusive, or unlawful activity
  • To comply with legal obligations or protect the security of the Website, Portal, or other users

Upon termination, your right to access the Website and Portal ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 4, 8, 9, 10, 11, and 14) will continue to apply.

14. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Venue

Any legal action or proceeding arising out of or related to these Terms or your use of the Website or Portal shall be brought exclusively in the state or federal courts located in Alameda County, California, and you consent to the personal jurisdiction of such courts.

Informal Resolution

Before filing any formal claim, you agree to first contact Propel and attempt in good faith to resolve any dispute informally. Most concerns can be resolved through direct communication.

Time Limitation

Any claim arising out of or related to these Terms or your use of the Website or Portal must be brought within one (1) year after the cause of action arises, or such claim will be permanently barred.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Propel regarding your use of the Website and Portal, and supersede any prior or contemporaneous understandings on this subject matter.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Force Majeure

Propel will not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet or telecommunications failures, or third-party service disruptions.

No Third-Party Beneficiaries

These Terms do not create any rights or benefits for any third party.
